NOTICE OF ANNUAL GENERAL MEETING

SPECIAL RESOLUTIONS:

 

CONSTITUTIONAL CHANGES

The following changes to the Constitution are presented for approval of the members:

 

SPECIAL RESOLUTION NO. 1:

Definition of ‘resident’

EXISTING CLAUSE:  Part 2-Membership

5. (a) Resident members are persons residing on Gabriola Island and the surrounding small islands including Nanaimo South to be excluding the Town of Ladysmith and North to and including the Town of Lantzville.

MOVED: Clause 5. (a) be amended by deleting the words “including Nanaimo South to but excluding the Town of Ladysmith and North to and including the Town of Lantzville.”

AMENDED PARAGRAPH 5.(a) would read:

5. (a) Resident members are persons residing on Gabriola Island and the surrounding small islands.

RATIONALE:  This means in effect that resident members will be only those residing on Gabriola and the surrounding small islands including Mudge and DeCourcy.  This change will not affect those members from Mudge or DeCourcy who were grandfathered under subsection (b).

Over the last 10 years a number of new golf courses have opened in the Nanaimo and surrounding area and competition for new members is fierce.  The current constitutional wording penalizes those potential members by classing them as resident members rather than encouraging them to join at a reduced annual membership as non-residents.  These individuals also must pay ferry fees each time they come to play.  Because of the decline in playing membership everything possible must be done to encourage membership.

 

 

SPECIAL RESOLUTION NO. 2:

Rates for non-resident members

EXISTING CLAUSE:  Part 4 – Dues, Fees and Assessments

18. “Annual dues for a non-resident single playing member, couples or family membership shall be one hundred ($100) less in each category than resident member fees for that same category.”

MOVED Clause 18 be amended by deleting the words “one hundred ($100) less in each category than resident member fees for that same category” and inserting the words “based on the annual dues structure as set at the General Meeting concluding the 2004 Annual General Meeting and shall be increased forthwith by the same percentage as applied to resident rates.”

AMENDED PARAGRAPH 18 would read:

18. “Annual dues for a non-resident single playing member, couples or family membership shall be based on the annual dues structure as set at the General Meeting concluding the 2004 Annual General Meeting and shall be increased forthwith by the same percentage as applied to resident rates.”

RATIONALE: The current wording of the Constitution specifies that non-resident dues shall be $100 less than resident dues.  With each increase to resident dues, the percentage difference between resident members and non-resident members decreases.  The following example based on single playing membership increased by 2.5% each year indicates the trend:

Non-Resident  $566   17.5%       $575   17%

Resident      $692               $709

Non-Resident  $592   16.8%       $609   16.4%

The proposed Constitutional change will reverse this trend to provide more of an incentive for new non-resident membership.

 

SPECIAL RESOLUTION NO. 3:

New paragraph for Associate Membership

MOVED Part 2 paragraph (j) be added:

“Associate members shall be persons nineteen (19) years of age and over who, upon payment of current dues shall be entitled to use of the Clubhouse facilities.  Associate members shall not be entitled to vote at any Club meeting.”

RATIONALE:  This category of membership offered at a reduced rate will encourage greater use of the clubhouse facilities and increase revenues without affecting the rights of full members of the club.  No initiation fee would be required and there would be no reduction in green fees.  This could have the negative effect that current Social members who do not wish voting privileges would change their membership to Associate.

 

SPECIAL RESOLUTION NO. 4:

Mailing Notices

EXISTING CLAUSE:  Part 7 – Proceedings at Meetings

43.           “Notices of General Meetings and the Annual General Meeting

to all members must be in writing by the Secretary and posted to the last known address of said member fourteen (14) days before the day of the said meeting.  Such notice shall give the date and hour of the meeting, the place of the meeting, and state the purpose of the meeting, including an agenda of matters to be discussed.”

MOVED Clause 43 be amended by after the words ”Secretary and posted”, add the words “or electronically mailed (e-mail) to the last known postal or electronic mail (e-mail) address of said member fourteen (14) days before the day of the said meeting.”

AMENDED PARAGRAPH 43 would read:

43. “Notices of General Meetings and the Annual General Meeting to all members must be in writing by the Secretary and posted or electronically mailed (e-mail) to the last know postal or electronic mail (e-mail) address of said member fourteen (14) days before the day of the said meeting.”

RATIONALE: This updates the Constitution to allow for a current form of communication as well as saving cost of printing and postage.  It is each member’s responsibility to ensure their postal and e-mail address, if applicable, is current in the Club records.

 

EXECUTIVE RECOMMENDATION TO MEMBERS

 

INCREASE IN DUES:

Dues be increased for the 2006/07 season by 2.5% (rounded to the nearest $5.00) to cover the cost of living.  

The Board recommends that no increase be applied to Social or Junior members.
